This talk will be given by Richard Wrigley, Partner - Corporate Team and Mike Hibbs, Partner - Employment team, Shakespeare Martineau

Richard specialises in high value and complex corporate transactions providing commercialy focused legal advice on transactions which often have an international dimension. Mike is a hugely experienced employment lawyer of over 30 years practice. He provides commercial employment law to a wide range of clients and is also a visiting professor at Birmingham City University.

Overview:

When buying companies and businesses, buyers usually impose restrictive covenants on a seller; to protect and preserve the value of the business being acquired. Occasionally a direct link is made between restrictive covenants and any outstanding payments to be made to the seller.

We will review recent case law that allows buyers of businesses to apply financial penalties for breach of restrictive covenants given as part of the sale in certain circumstances. Further, we will look at restraining the future actions of departing employees. Is it lawful or in restraint of trade? How far can a business go to interfere with the activities of its former employees?

By attending this lecture, attendees will:

  • have an overview of restrictive covenants;
  • understand employment implications of restrictive covenants
